The following terms and conditions are applicable to RedPixel Limited, hereinafter referred to as 'RedPixel'.

DEFINITIONS
The Client: The company or individual requesting the services of RedPixel.
RedPixel: Primary Designer/Site Administrator & it's employees.

1. GENERAL
   1. RedPixel will only carry out work following a request provided either by email, telephone, fax or traditional mail. The acceptance of verbal or written 'Order' shall be deemed a contractual agreement, this includes email and telephone agreements. RedPixel will only carry out work for Clients who are 18 years of age or over.
   2. RedPixel reserve the right to refuse to construct a web site which we may judge as unfit due to content or otherwise. This includes, but is not limited by, sites containing adult oriented material such as pornography, sites which promote hatred towards persons belonging to any ethnic group, religion or sexual orientation and sites which infringe copyright or are contrary to UK laws.


2. TRADING TERMS
   1. RedPixel's standard trading terms are strictly Nett 30 days from date of invoice.
   2. RedPixel reserves the right to implement the Late Payment of Commercial Debts (Interest) Act 1998 as amended and supplemented by the Late Payment of Commercial Debts Regulations 2002. In cases where accounts are consistently overdue.
   3. RedPixel reserves the right to withdraw such credit facilities.
   
   
3. GENERAL ARTWORK AND DESIGN
   1. All material must be supplied electronically for inclusion into the design.
   2. Any information, including textual copy, images, graphics and other data supplied by the Client and used in the design of the Client's Website or for use in any Graphic Design work, will remain the client's property. All such material will be assumed to be the property of the client and be free to use without breach of copyright laws. The Client agrees to fully indemnify and hold RedPixel free from harm in any and all claims resulting from the Client, in not having obtained all the required copyright, and/or any other necessary permissions from the owner of the material.
   3. All work carried out remains the copyright of RedPixel, including, but not limited to; Coding, Photography, Editorial Content, Graphics, until such time as the payment has been made in full whereupon will become the property of the Client, excluding stock imagery/specialised applications which will remain the copyright of the respective provider and maybe subject to their Copyright Terms and Conditions.
   4. All products supplied will remain the property of RedPixel until such time as payment has been made in full at which time they become the property of the Client.
   5. Proofs will be supplied electronically, either via PDF or, in the case of websites, on a development server, unless a hard copy is specifically requested. It is the Client's responsibility to check all copy/typesetting and content before signing off the artwork as RedPixel cannot be held responsible for any error's or omissions after the Client has signed off the artwork, acceptance of artwork is either a completed proof form or via email.
   6. RedPixel will provide an Estimate/Quotation based on the Client's specification, if the specification, requirements change during the build of the design process, RedPixel reserve the right to amend the Quotation accordingly.
   7. The Client agrees to allow RedPixel to place a discreet credit on any printed material or a link to RedPixel's own website on the Client's website. This will normally be in the form of a small logo or line of text placed with a hyperlink at the bottom of the website.
   
   
4. WEBSITE DESIGN
   1. RedPixel cannot guarantee the availability of a domain name, where requested domain name(s) are not available RedPixel will suggest suitable alternatives but will not register a domain name without the Clients prior approval.
   2. The Client is required to pay a 50% non-refundable deposit due before the commencement of any project undertaken by RedPixel.
   3. Upon receipt of the deposit RedPixel will commence work on the Client's website, initially uploading to a Development Server for proofing/testing. Once RedPixel and the Client agree the website meets the Client's requirements, RedPixel will invoice for the remainder of the outstanding balance, due in accordance with our payment terms.
   4. Upon receipt of full payment for the project RedPixel will upload the approved website to the Production Server.
   5. RedPixel make every effort to design websites which display correctly in the most popular browsers, but cannot accept responsibility for any pages which do not display correctly in new versions of browsers released after websites have been designed and commissioned.
   6. RedPixel reserve the right to suspend or remove services not paid for in full after 30 days of the invoice date, this includes, but is not limited to; Website Hosting, Domain Registration, Non-standard MailBoxes, Databases and FTP Accounts. Removal of such services does not relieve the Client of its obligation to pay the due amount. Clients whose accounts become default agree to pay RedPixel reasonable legal expenses and third party collection agency fees in the enforcement of these Terms and Conditions.
   
   
5. CANCELLATION
   1. Cancellation of orders may be made by telephone or email. The client will then be invoiced for all work completed over and above the non-refundable deposit. The balance of the outstanding monies due must be paid within 30 days of the invoice date.
   2. Annual domain registration and hosting is automatic, re-registration charges must be paid for in full in advance. The Client must give at least 40 days’ notice of cancellation of a hosting plan. If 40 days notice is not given RedPixel reserve the right to invoice for the full amount.
   
   
6. FORCE MAJEUR
   1. Every effort will be made to carry out the contract, but its due performance is subject to cancellation by RedPixel or to such variation as we may find necessary as a result of inability to secure labour, materials or supplies or as a result of any act of God, War, Strike Lockout or other labour dispute, Fire, Flood, Drought, Legislation or other cause (whether of the foregoing class or not) beyond our control.
   
   
7. ACCEPTANCE OF QUOTATION AND TERMS AND CONDITIONS
   1. The placing of an order, as stated in section 2 for design and/or any other services, constitutes acceptance of the estimate or quotation and agreement to comply with these Terms and Conditions.
   2. RedPixel reserves the right to change or modify any of the Terms and Conditions at any time without prior notice
